Service description

Centralize Legal connects your practice systems (Clio Manage, Microsoft 365, Dropbox) to your AI assistant through a secure MCP integration. We retrieve, filter, and format information you request — we do not provide legal advice and we do not run an LLM on your data.

Third-party accounts

By connecting a source, you represent that you have authority to grant Centralize Legal access to that account under your firm's policies and your agreements with Clio, Microsoft, and/or Dropbox. Each user connects their own account; permissions come from your existing access in those systems.

Clio: read-only search and retrieval of records you can access in Clio Manage.
Microsoft 365: read-only search of Outlook mail and OneDrive/SharePoint files accessible to your work or school account. Personal Microsoft accounts (outlook.com, hotmail.com) are not supported.
Dropbox: search and on-demand retrieval of files and folders in your Dropbox account, including team and shared folders where you have access.

Disconnecting a source removes only that OAuth connection. Disconnecting does not close your Centralize Legal firm account. Firm admins may request account closure separately (14-day grace period before operational data purge).

SMS notification program

Program name: Centralize Legal Account Notifications

Description: Optional automated text messages for law firm users who opt in during onboarding or account settings. Messages are generic account alerts only (deadline reminders, follow-up nudges, briefing prompts). They do not contain client or matter details.

Message frequency: Varies based on your account activity and reminder settings; typically a few messages per week or fewer.

Cost: Message and data rates may apply. Check with your carrier.

Support: Email support@centralizelegal.com

Opt-out: Reply STOP to cancel SMS at any time. Reply HELP for help. After STOP, you will receive one confirmation message. You may still use the service without SMS.

Opt-in: Consent is collected via an unchecked checkbox on the post-signup SMS prompt at /onboarding/sms (immediately after account creation). Full program disclosure and a consent-screen replica: SMS notification program.

Acceptable use

You must use the service lawfully and only for legitimate firm business. You must comply with applicable law, including attorney-client privilege obligations and TCPA consent for SMS. You may not attempt to access another user's connections or another firm's data.

AI environment

You are responsible for the security and appropriateness of the AI assistant you connect. We recommend a business or enterprise-tier AI for client-confidential workflows. Centralize Legal provides retrieval plumbing only and does not operate an LLM on your data. See our Data Processing Agreement.

Content retrieved via the service is transmitted to the AI environment the Customer connects. That AI provider is a Customer-connected system under the Customer's own agreement, not a Subprocessor of Centralize Legal.

Data protection & order of precedence

Data handling terms are in our Privacy Policy, Data Processing Agreement, Security Overview, and Data Residency Statement.

If the Terms conflict with the DPA on data protection, privacy, security, subprocessors, breach notification, or deletion of Customer Data, the DPA controls. General liability limits and service terms in these Terms continue to apply where they do not conflict with the DPA.

Limitation of liability

To the maximum extent permitted by law, Centralize Legal's total liability arising from the service is limited to the fees paid by Customer in the twelve (12) months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages. These limits apply to the DPA except where prohibited by applicable data-protection law.

Billing

Paid plans are billed through Stripe. Trial and subscription terms are shown at checkout. Tier assignment may use non-privileged usage signals (for example, open matter counts from Clio) as described during signup.
